GENERAL CONDITIONS OF SALE AND USE

PREAMBLE – ENFORCEABILITY

MISSION INTERNATIONALE, a simplified joint stock company with its registered office at 8, esplanade Compans Caffarelli - 31000 Toulouse, registered in the Toulouse Trade and Companies Register under number 493 275 291 (hereinafter referred to as "Mission Internationale"), publishes a B2B Services Marketplace solution enabling any individual or legal entity to contact independent international experts and consultants accessible from the website www.mission-internationale.com, with a view to providing intellectual services abroad.

IMPORTANT

The use of the Marketplace or any of its features implies the User's express, prior, full and complete acceptance of these general terms and conditions of sale and use (hereinafter the "Terms and Conditions"). By checking the box: "I have read and accept the general terms and conditions of sale and use", the User acknowledges having read and accepted all the stipulations of the General Terms and Conditions.

The General Conditions may be modified at any time; the modified version will then be applicable to Users for all requests for quotes or orders placed after this version.

ARTICLE 1: DEFINITIONS

In the General Terms, words or expressions beginning with a capital letter shall have the following meaning:

"Corporate Client": means any individual or legal entity that uses the Service for business purposes, in order to contact Expert Clients and obtain Services from them.

"User Account": means the account created by the Expert Client or Corporate Client at the time of the first connection.

"User": refers to the Expert Client and the Corporate Client.

"Expert Client": refers to any natural or legal person specialized in the sale of services and/or intellectual services and/or international projects, acting in this capacity for professional purposes in accordance with the laws and regulations in force in France, referenced on the Marketplace and having subscribed to the Service in order to offer Services to Corporate Clients.

"Mission": means any provision service offered or performed by an Expert Client to a Corporate Client via the Marketplace.

"Service": refers to all the services provided by Mission Internationale or its partners via the Marketplace, including in particular the service of putting Expert Clients in contact with Corporate Clients, the services of providing payment tools, the preparation and issue of invoices in the name and on behalf of Expert Clients as well as services intended to assist the Corporate Client in the search for and selection of Expert Clients for the performance of the Missions.

"Marketplace": means the digital platform designed, developed and operated by Mission Internationale whose URL is www.mission-internationale.com.

ARTICLE 2: OBJECT

The purpose of the General Conditions is to define:

  • the terms and conditions under which Users access, browse and use the Marketplace; and
  • the terms and conditions under which Users may offer or order Missions via the Marketplace.

ARTICLE 3: DESCRIPTION OF THE SERVICE - NATURE OF THE RELATIONSHIP BETWEEN THE PARTIES

3.1.  The Service offered by Mission Internationale in the Marketplace allows Business Clients to connect with Expert Clients, to directly order Missions and to contract these Missions with Expert Clients, by providing a messaging system and means of payment intended to secure the progress of a Mission.

The Mission is an intangible service performed exclusively by digital means. 
The role of Mission Internationale is strictly limited to the provision of the Marketplace, which enables Business Customers and Expert Clients to be put in contact with each other, and for Business Customers to subscribe to Missions directly with Expert Clients.

To this end, it allows the Expert Client to have access to tools allowing him to present his professional profile, to receive orders and to send messages online through a messaging system.

The Service also allows the collection of documents required from Expert Clients as part of the obligation of vigilance (KYC - Know Your Customer), as well as the preparation and issuance of invoices relating to the performance of the Mission, on behalf of and in the name of Expert Clients.


3.2  Mission Internationale does not intervene in the performance of the Missions. The conditions for the realization of the Missions and the transactions via the Service are concluded directly between the Expert Client and the Corporate Client, the Expert Client being free to set its own rates.

The Mission is invoiced directly by the Expert Client to the Corporate Client via the Marketplace which acts in the name and on behalf of Mission Internationale as a commission agent and trusted third party. A management fee of ten percent (10%) of the amount of the Mission will be due to Mission Internationale by the Expert Client and five percent (5%) by the Corporate Client, when invoicing the Mission.

The Expert Client acts independently. He is free to choose his own methods, deadlines, the rate proposed to the Corporate Clients and the times according to which he carries out the Missions. Neither party has the power to act as an employee of the other, or under any other status, and has no right, express or implied, to commit the other in any way whatsoever. Each party shall bear the sole cost of the charges and expenses relating to its duties and responsibilities. Each party will be responsible for any taxes, assessments, fees, duties, etc. for which it is liable as an independent trader, so that the other party will never be held liable in this respect. The Business Customer declares to be informed of the specificities of the realization of the Missions.

ARTICLE 4: CONDITIONS OF ACCESS TO THE SERVICE - REGISTRATION

4.1. An online search on the Marketplace is possible without having previously created a User Account. However, it is only after the creation of its registration that the Business Customer will be able to request and obtain a quote from an Expert Client and purchase Missions via the Marketplace.

The possibility of creating a User Account is exclusively reserved for Business Customers and Expert Customers located and legally established in one of the countries covered by the services of the payment institution MANGOPAY, approved by the Prudential Control and Regulation Authority which manages and controls the payment flows on the Marketplace, and whose list of the countries concerned is shown on MANGOPAY's website to this link. However, for Expert Customers located and established in a country not covered by MANGOPAY's services, they may create a User Account via a company of wage portage located and legally established in one of the countries covered by MANGOPAY's services.

Expert Customers who wish to offer Missions via the Marketplace must continuously comply with the following conditions:

  • be registered in the trade and companies register of the place of their registered office or any other equivalent register for an international service activity, or via a wage portage company; and
  • expressly accept the General Conditions.

The Expert Client undertakes to comply with and maintain all these conditions for the entire duration of the use of the Marketplace and the Service.

Users domiciled outside of France are also required to respect all obligations incumbent upon them by virtue of their status and the legislation applicable in their country of residence.


4.2. Expert Customers who meet the requirements set forth in Article 4.1 can register on the Marketplace by creating a User Account (registration is mandatory to use the Service).

To register and use the Service offered by the Marketplace, the User must have the legal capacity to enter into contracts.

4.3. Registration on the Marketplace is free of charge, only the purchase of Missions and the use of the Service (ten percent (10%) commission due to Mission Internationale by the Expert Client and five percent (5%) by the Corporate Client) via the Marketplace are subject to a fee. Registration implies full and unconditional acceptance of the General Conditions. The User is responsible for the computer and telecommunication means to access the Marketplace. The telecommunication costs for accessing the Internet and using the Marketplace are to be borne exclusively by the User.

4.4. To access the Service, the Corporate Customer must create a User Account and accept the General Conditions. 
To create a User, the Business Customer must register by creating a User Account on the Marketplace. To do so, it must click on the "Register" section and fill in the mandatory fields of its profile, including the following information

  • the required information (in particular name, first name, email address)
  • read the General Conditions; and
  • accept the General Conditions by checking the corresponding boxes.

The Corporate Client guarantees that the information provided is accurate and true. Mission Internationale has the right to suspend or close the Corporate Client's account in the event that the data provided is clearly erroneous.

To access the Service, the Expert Client must create a User Account and accept the General Conditions.

To create a User Account, the Expert Client must first go to the Marketplace and click on the "Register" tab.

The Expert Client must register by creating a User Account on the Marketplace. To do so, he must complete the mandatory fields of his profile and identified as such. The form may change over time to take into account any changes in the Expert Client's profile. The Expert Client guarantees that the data he/she communicates is authentic, accurate, complete, up-to-date and true to life. Mission Internationale reserves the right to suspend or close the Expert Client's account in the event that he/she provides erroneous data.

In order to access the Service, offer its Missions and send quotes, the Expert Client must upload to the Marketplace the required documents concerning them and corresponding to the rules of transparency (KYC) for the purposes of the fight against tax fraud, money laundering and the financing of terrorism. Once the documents are validated, the Expert Client can then fully use the Service.

4.5. Furthermore, when registering, the User chooses a unique and personal email and password to access the Marketplace. The email and password are personal and confidential. They can only be used by the User. The use of the email and password is under the User's sole responsibility and the User agrees not to give them away or communicate them to any third party. The password can be changed via the Marketplace. If the User forgets his or her password, he or she can click on the link "Lost password" and then "Reset password". An email will be sent to the User Account email address. The User agrees to use only his active email and password. Any attempt to access the site using passwords other than the active ones will be considered as a computer crime under the laws in force.

Furthermore, the User is solely responsible for any use that may be made of his/her login and password and is the sole guarantor of their confidentiality.

4.6. Once the registration form has been duly completed, a confirmation email will automatically be sent to the Corporate Customer to validate its registration. After confirmation by the Corporate Client, the registration is validated and the Corporate Client is informed by a confirmation email and can start or resume the creation and sending of mission proposals to Expert Clients.

Once the registration form has been duly filled in, a confirmation email will be automatically sent to the Expert Client in order to validate his registration. After confirmation by the Expert Client, the registration is validated by the Mission Internationale services and the Expert Client is informed by an email of confirmation of his registration and can respond to requests from Corporate Clients and send them quotes to perform Missions.

Expert Clients are informed that information relating to their professional profiles will be accessible to all Expert Clients and Corporate Clients and may appear in search engines.

4.7. Registration is for an indefinite period of time and may be terminated by either party in accordance with the conditions set forth in Article 10.

International Mission reserves the right, without compensation or prior notice, to temporarily or permanently close the Marketplace, in particular to carry out updates, modifications or operational changes to the Marketplace and the server.

Mission Internationale reserves the right to make any changes to the Marketplace and the Service that it deems necessary for their proper functioning.

4.8. Any order linked to an incomplete form or one containing erroneous and/or fanciful information may be refused or suspended without compensation or notice by International Mission.

ARTICLE 5: USE OF THE SERVICE

5.1. Listing - Request for a quote for a Service by the Business Client

Once the Expert User Account has been created and validated, the Marketplace allows the Expert Client to be listed in a database of experts.  
To obtain a quote for a Mission from an Expert Client, the Corporate Client must proceed with the following steps

  • create a User Account ;
  • identify himself to connect to his User Account;
  • in the search engine, enter an expertise or click on an advertisement or on the profile of an Expert;

The Marketplace automatically generates a selection of Experts: these suggestions are formulated on the basis of an algorithmic calculation which favors the best match between the profile of the Expert and the request of the Corporate Client according to the characteristics given by the latter. This list is only a suggestion. The Corporate Client alone chooses the Expert(s) to whom it wishes to request a Mission and remains free to use such and such an Expert. The Corporate Client is solely responsible for the final choice of the Expert.

The Corporate Client may contact the selected Experts to request a quote.

On the basis of the quotations received, the Corporate Client will select an Expert with whom it wishes to contract for the assignment for which the quotation was requested.

The Expert Client is free to accept or refuse the request for a quote sent by a Business Client.

5.2. Placing an order 
The Marketplace allows the Corporate Client, if it so wishes, to place an order with the Expert Client.

The Corporate Client undertakes to place orders with the Expert only for Missions for which it holds the rights necessary for their use and exploitation.

The Corporate Client places an order with the Expert Client via the Marketplace by paying the amount of the Mission (ten percent (10%) commission due to Mission Internationale by the Expert Client and five percent (5%) commission due to Mission Internationale by the Corporate Client), via one of the payment solutions offered by the Marketplace. At the time of ordering the Mission, the funds are transferred from the Corporate Client's account to an escrow account.

5.3. Acceptance of the Order - Performance of the Mission - Obligations of the Expert Client

Once the order has been placed and the payment made via the Marketplace, the Expert Client receives a notification in its mailbox via its User Account confirming that a Mission has been requested and confirmed by a Business Client. At any time, the Business Client can ask questions to the Expert Client using the messaging system offered by the Marketplace.  
The Expert Client is free to use all means and methods necessary to perform the Mission. The Expert Client may ask the Business Client for clarification using the messaging system provided by the Marketplace.

Once the Service and the quote have been validated and the payment made by the Corporate Client, the Corporate Client can no longer modify the content of the project or the assignment. 
The Expert Client is solely responsible for the level and quality of the Mission.

Within the framework of the realization of the Mission and the use of the Service and the Marketplace, the Expert Client undertakes to :

  • respect the contractual commitments made to the Corporate Client; and
  • not to contravene the provisions of the General Terms and Conditions.

5.4. Possibility of subscribing to other services

Mission Internationale offers the Corporate Client and the Expert Client the possibility of using associated services, in particular the international payment guarantee, professional translation, wage portage, international mobility and the reservation of office space/co-working space. This list of additional services is not exhaustive and may be completed or modified. These services can be consulted in more detail at www.mission-internationale.com, in the "Additional Services" section at the bottom of the page. 

If the Corporate or Expert Client opts for any of these services, they will be invoiced additionally and will be governed by the specific conditions of the services concerned.

ARTICLE 6: PRICE AND PAYMENT OF MISSIONS

6.1. Price

The price of the Mission is freely fixed by the Expert Client on the basis of the requests made by the Corporate Client. A commission equal to ten percent (10%) of the price of the Mission is due to Mission Internationale by the Expert Client for the Mission, which is automatically included in the price of the Mission set by the Expert Client. A commission equal to five percent (5%) of the amount of the Mission is due to Mission Internationale by the Corporate Client as a management fee. These commissions are applicable to each transaction made via the Marketplace.

The price is mentioned including all taxes. The Expert Client is solely responsible for the applicable taxes which are payable by him in accordance with the laws and regulations in force.

The total amount to be paid is mentioned in the order. Payment for the Mission is made at the time of the order by the Business Client. This amount includes the price of the Mission, the commission equal to ten percent (10%) of the price of the Mission paid to Mission Internationale for the use of the Service by the Expert Client and the commission equal to five percent (5%) of the price of the Mission paid to Mission Internationale for management fees by the Corporate Client. This amount is mentioned according to the currency chosen by the Expert Client, among the currencies offered on the Marketplace, and the payment will be made in Euros.

The payment of the Mission to the Expert Client, after deduction of the corresponding commission for the use of the Service, is made after the Mission has been sent to the Corporate Client and after the validation of the Mission by the Corporate Client.

6.2. Terms and conditions of payment

The payment of the Mission (ten percent (10%) commission due to Mission Internationale by the Expert Client and five percent (5%) commission due to Mission Internationale by the Corporate Client) is ensured by the payment institution MANGOPAY, approved by the Prudential Control and Regulation Authority which manages and controls the payment flows on the Marketplace.

In order to use the credit card or bank transfer payment system offered on the Marketplace, the Corporate Customer accepts the MANGOPAY Terms of Use as they appear on the MANGOPAY website (click on this link to access the MANGOPAY Terms of Use).

6.3. Compliance with deadlines

The Corporate Customer undertakes to respect reasonable response times as well as a level of responsiveness in order to facilitate exchanges with the Expert Customer, and vice versa. 
The Expert Client undertakes in particular to respond to a request for a quote from a Business Client within ten (10) days. The Corporate Client undertakes in particular to validate the Expert Client's activity report within a period of less than three (3) days to allow the disbursement of funds.

ARTICLE 7: PROFESSIONAL LIABILITY INSURANCE POLICY

7.1. Mission Internationale has taken out a "professional liability" insurance policy with an insurance company in order to allow Business Clients to benefit from insurance coverage in the context of the proposed missions under the conditions provided for in the policy, as well as to allow Expert Clients to benefit from insurance coverage in the context of the Missions they perform via the Marketplace.

This insurance covers the Corporate Client and the Expert Client as from the validation of the pricing proposal for the Service.

7.2. The details of the guarantees subscribed to (in particular their nature, limits, deductibles, etc.) and the special conditions of coverage of the Allianz policy subscribed to by Mission Internationale are available on request. The general terms and conditions of the Allianz policy that also apply are available on request.

The Corporate Client and the Expert Client declare that they are fully aware of this by accepting the General Conditions.

The Expert Client acknowledges and accepts that in the event of a dispute covered by the Allianz policy taken out in his name and on his behalf by Mission Internationale, he shall remain liable to the latter for the amount of the deductible provided for in the special conditions. The Expert Client hereby authorizes that this amount may be deducted by Mission Internationale from any amount owed to it by Corporate Clients for a Mission performed via the Marketplace.

By way of information, and without such precision adding to or subtracting from the particular or general conditions of the Allianz policy taken out, the Expert Client's attention is drawn to the geographical scope of the policy, in particular in that damage resulting from services carried out on the territories of the United States of America and Canada or to these countries, are excluded from the guarantee.

7.3. Mission Internationale shall not be held liable in the event of non-application of the Allianz policy to any damage whatsoever.

The Corporate Client and the Expert Client acknowledge that they are free to take out professional liability insurance in their own name and on their own behalf, in order to extend the geographical and/or temporal scope of the guarantees covered by the Allianz policy taken out by Mission Internationale or to reduce the amount of the deductibles provided for.

ARTICLE 8: CONFIDENTIALITY

It is the responsibility of the Corporate Client to ensure the level of confidentiality of the data recorded on the Marketplace and to take all necessary anonymization measures in this context. The Expert Client undertakes to respect the confidentiality of the Missions performed on the Marketplace and not to disclose their content.

The Corporate Client is solely responsible for its confidentiality commitments in case of sharing its information via the Marketplace. The Expert Client is solely responsible for any disclosure of the content of the Business Client's project or the Mission to third parties.

The Corporate Client may impose a level of confidentiality on the Expert Client because of the content of the project, in particular by sending the Expert Client a confidentiality agreement to be signed before the Provision is carried out. The Expert Client undertakes to respect the confidentiality of the services provided via the Marketplace and not to disclose their content.

In any case, Mission Internationale shall not be held responsible in case of disclosure of the content of the project by the Expert Client, the Corporate Client or by any third party.

ARTICLE 9: SCORING, RECOMMENDATIONS AND EVALUATION

9.1. Scoring

Each Expert Client will be given scores by the Business Customers on the Marketplace, determined according to several objective criteria, including the quality and quantity of the Missions, the scores given by the Business Customers (other factors are taken into account) allowing a better match between the Business Customer's request and the Expert Client's skills.

9.2  Recommendations by the Marketplace

The Marketplace selects the Expert Client(s) on the basis of an algorithmic calculation which favors the best match between the profile of the Expert Client and the request of the Corporate Client. The multitude of parameters taken into account in the algorithmic calculation leads to a variation in the score given and the visibility of the same Expert Client from one request to another. This mechanism therefore gives the opportunity to any registered Expert Client to be identified according to the requests. The list of Expert Clients selected by the Marketplace is only a suggestion and Mission Internationale is not responsible for the choice of the Expert Client by the Corporate Client.

9.3. Evaluation of the Expert Client by the Corporate Client

Once the Mission has been delivered to the Business Client, the Marketplace shall ask the Business Client to evaluate the Mission performed by the Expert Client. Once the Service has been performed, the Client is invited to evaluate the Expert Client. This evaluation is accompanied by a comment which will be published on the Expert Client's page and remains visible on its page for an indefinite period. However, the Expert Client cannot modify or hide his average rating which is the result of all the ratings given to him. The evaluations give indications of the quality of the services provided and the final satisfaction of each Corporate Client. The evaluations contribute to the qualification of the Expert Client, to its rating and to its recommendation by the Marketplace. Mission Internationale does not control the evaluations left by the Corporate Clients, which can only be modified or deleted from the Expert Client's profile in the event of a motivated report by an Expert Client or a Corporate Client via the Marketplace's help section www.mission-internationale.com.

However, Mission Internationale reserves the right to delete any evaluation and/or recommendation containing excessive or insulting elements written by Corporate Clients.

ARTICLE 10: DURATION - TERMINATION OF ACCESS TO THE SERVICE

10.1. Subscription to the Service by the Corporate Client and by the Expert Client is effective upon receipt of the confirmation email referred to in Article 4.6, for an indefinite period.

10.2. The Corporate Client and the Expert Client may terminate their subscription to the Service at any time without reason. To terminate their User Accounts, the Expert Client and the Corporate Client can send an email via the contact section of the Marketplace www.mission-internationale.com.

10.3  Mission Internationale reserves the right to terminate and/or suspend the Corporate Client's User Account by right and without prior notice, by any means, without compensation or notice, and without prejudice to the exercise by Mission Internationale of any recourse or legal remedy that it may deem appropriate against the Corporate Client:

  • if it is forced to do so by a law or regulation;
  • if there is any doubt as to the good faith of the Corporate Client, the authenticity of the information provided or more generally in the event of non-compliance with any of the terms of the General Conditions or of a use of the Marketplace that does not comply with a legal or regulatory provision.

10.4  Mission Internationale may terminate and/or suspend the Expert Client's User Account, at any time, by right and without prior notice, by any means, without compensation or notice, and without prejudice to the exercise by Mission Internationale of any recourse or legal action it may deem appropriate against the Expert Client:

  • if it is forced to do so by a law or regulation ;
  • in case of claims or complaints by the Corporate Client against the Expert Client in any capacity whatsoever;
  • in the event of actions that contravene the provisions of the Intellectual Property Code;
  • in case of circumvention and misuse of the Marketplace by Users, in particular if the Expert Client offers its services directly to a Business Client, or if a Business Client uses the services of an Expert Client without using the Marketplace; and
  • more generally, in case of non-compliance with any of the terms of the General Terms and Conditions or in case of use of the Marketplace that does not comply with any legal or regulatory provision.

If the information mentioned in the Expert Client's profile proves to be inaccurate, Mission Internationale reserves the right to delete his profile, in the absence of a satisfactory response within eight (8) days of sending a request for rectification.

In case of deletion or suspension of the User Account for any reason whatsoever, access to the Expert Client's User Account shall be deactivated without prejudice to Corporate Clients who have paid for Missions and who may continue to use the Marketplace until the end of the Missions.

ARTICLE 11: LIABILITY

11.1 Liability in connection with the use of the Marketplace

11.1.1. Use of the Marketplace and subscription to the Service is at the User's own risk and responsibility. In using the Marketplace and the Service, the User is solely responsible for the data and content that it publishes and deposits on the Marketplace and undertakes in this context:

  • not to commit any action or adopt any behavior that could damage the image or reputation of Mission Internationale
  • not to write or distribute any message or information, whatever their form or nature, in particular
    • contrary to public order and good morals ;
    • contrary to the respect of private life;
    • offensive, defamatory, racist, xenophobic, revisionist or damaging to the honor or reputation of others, inciting discrimination, hatred ;
    • constituting false news;
    • threatening a person or a group of persons;
    • of a pornographic or pedophilic nature;
    • inciting to commit a crime, a misdemeanor or an act of terrorism or glorifying war crimes or crimes against humanity;
    • inciting discrimination, hatred of a person or a group of persons because of their origin or their membership or non-membership of a particular ethnic group, nation, race or religion;
    • inciting to suicide;
    • violating the legislation on the secrecy of correspondence, or, in general, contrary to a regulation in force or a law in force; and
    • allowing third parties to obtain pirated software, software serial numbers allowing acts of piracy and intrusion into computer and telecommunications systems, viruses and, in general, any software or other tool allowing infringement of the rights of others and the security of persons and property.

11.1.2. Mission Internationale is an Internet service provider that provides Expert Clients with the means to list themselves on the Marketplace. Mission Internationale acts solely as a content host and is therefore not bound by any general obligation to monitor the content transmitted or stored via the Marketplace by Expert Clients and Corporate Clients. Mission Internationale does not monitor or censor the content a priori.

Mission Internationale shall not be held responsible for the content transmitted, stored and published via the Marketplace, nor shall it be held liable for any damages whatsoever, due to the consequences of said content, errors or omissions by the Expert Client on the Marketplace.

11.1.3. Mission Internationale shall not be held liable in case of impossibility of access to the Marketplace and/or use of the Service, in case of internal malfunctions of the User's internet service provider, congestion of the internet network and for any other reason whatsoever. The User acknowledges and agrees that Mission Internationale is not responsible for any interruptions in access to the Marketplace and the Service, and the consequences thereof for the User or any third party. Mission Internationale may have to temporarily interrupt access to the Marketplace or to all or part of the Service for computer maintenance reasons. In this case, Mission Internationale will, as far as possible, inform the Users of the maintenance operations. Mission Internationale will send an email to the users' email address. Mission Internationale shall not be liable to pay any compensation for the interruption of the Service.

11.2. Responsibility for the use of the Service

11.2.1. As part of the Service, the Marketplace offers management tools to the Corporate Client (search engine and messaging) and to the Expert Client (tutorials and messaging). The use of these tools does not engage the responsibility of Mission Internationale.

11.2.2.  Mission Internationale is only an intermediary between the Corporate Client and the Expert Client and as such, it cannot be held responsible in any way in the event of default by the Corporate Client or the Expert Client with regard to their mutual contractual obligations, freely agreed upon.

Mission Internationale provides Users with a matchmaking service. In this respect, Mission Internationale does not intervene in any way in the conditions of the service contract between the Corporate Client and the Expert Client. The Missions are performed by the Expert Clients under their sole responsibility.

In this context, Mission Internationale declines all responsibility for any direct or indirect damage caused to the Expert Client, the Corporate Client, third parties or property and occurring during a Mission.

Consequently, Mission Internationale shall not be held responsible for

  • the cancellation of an Event by a Corporate Client; and
  • the behaviour of the Expert Client. Any complaint from a Corporate Client concerning the final result of the Service that is brought to the attention of Mission Internationale will be transmitted to the Expert Client concerned, who will assume full and sole responsibility for it.


11.2.3. Mission Internationale shall not be held liable in any way whatsoever for any direct or indirect prejudice or damage suffered or incurred by Users as a result of the use or impossibility of using the Marketplace and/or all or part of the Service, such as, but not limited to, loss of information, loss of data (such as profiles, messages, advertisements etc.).

11.2.4. Mission Internationale does not give the Expert Client any guarantee on the impact that referencing may have on the Expert Client's activity.


ARTICLE 12: INTELLECTUAL PROPERTY

Mission Internationale owns all intellectual property rights related to the Marketplace and the Service, including the trademark "Mission Internationale", as well as the domain name www.mission-internationale.com and/or any other intellectual property used by the Service. "Mission Internationale" is a protected trademark registered with the INPI.

More generally, any reproduction, distribution, representation or adaptation, in whole or in part, modification or use of the trademark, the Marketplace and other intellectual property rights attached to the Service, for any reason and on any medium whatsoever, without the express prior consent of Mission Internationale is strictly prohibited, as is any alteration thereof. The Marketplace is the exclusive property of Mission Internationale, holder of all related rights. The General Conditions do not imply a transfer of intellectual property rights to the Users.

When a User makes content available to other users of the Marketplace, the User agrees that they may view and share the content on the Marketplace, free of charge and for personal use only, on other electronic communication media for the duration of the hosting of the User's content on the Marketplace. In addition, during the time that the User's content is hosted on the Marketplace and within the strict framework of the functionalities that make the Marketplace accessible via the Internet or other electronic communication media, the User authorizes Mission Internationale to reproduce and represent its content and, if necessary, to adapt its format for this purpose. The User is also informed that, given the intrinsic characteristics of the Internet, the data transmitted, in particular the content presented by the User, are not protected against the risks of detour and/or piracy, for which the Marketplace cannot be held responsible. It is the User's responsibility, if necessary, to take all appropriate measures to protect this data.


ARTICLE 13: PROTECTION OF PERSONAL DATA

Mission Internationale collects personal information (such as first name, last name, address, date of birth, etc.) about Users using the Marketplace and the Service. This information is necessary to access the service and certain features of the Marketplace as well as to process and manage the Services and the subsequent order. If the Business Customer fails to provide this information, it will not be able to use the Service. The personal data collected during the registration of the Business Customer is exclusively intended for the Marketplace to ensure the quality of the service and/or to send promotional information, newsletters to the Business Customers by electronic means as well as to the Expert Customers for the needs of the execution of their Missions. This data may only be communicated to third parties to meet legal and regulatory obligations. This information is confidential; it will be kept for a period of three (3) years from the date of collection of said information (subject to data required to meet a legal or regulatory obligation which may be kept for the time necessary to fulfill the obligation in question). The data collected may be transferred by Mission Internationale outside the European Union for the sole purpose of carrying out the Mission.

Safeguards have been taken to ensure a sufficient level of protection of personal data [contact us for more information]. In accordance with Articles 38 et seq. of the French Data Protection Act of January 6, 1978, as amended by the European Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on data protection, the User has a right of access, rectification, deletion and limitation of the processing relating to his/her data without charge as well as a right of opposition, to the processing of his/her personal data. The User also has :

  • the right of access to the data concerning him;
  • the right to data portability, i.e. to receive personal data concerning him/her that he/she has provided to Mission Internationale in a structured, commonly used and machine-readable format. The user will then be able to store or transmit them easily from one information system to another, with a view to their re-use for personal purposes;
  • the right to withdraw consent at any time (in this case, the lawfulness of the processing carried out prior to the withdrawal will not be called into question);
  • the right to rectification of personal data concerning him/her that are inaccurate;
  • the right to the deletion of personal data concerning him/her; and
  • the right to lodge a complaint with the competent supervisory authority (in France, the CNIL) if he considers that the processing of his personal data does not comply with European rules; the right to define directives concerning the fate of his personal data after his death.

Furthermore, the Expert Client is hereby informed and expressly accepts that the selection of Expert Clients is exclusively the result of automated processing aimed at evaluating certain personal aspects, in particular through the analysis and prediction of elements concerning areas of activity and competence, specialties, language pairs, availability and processing capacity, and allowing the implementation of the Service, in particular through the optimization of the connection between Expert Clients and Corporate Clients Mission Internationale has put in place appropriate measures to guarantee the protection of the rights and freedoms as well as the legitimate interests of the Expert Client who retains the right to obtain human intervention from Mission Internationale, to express his point of view and to contest the rating/selection.

ARTICLE 14: SERVICE - COMPLAINTS

14.1  For any question or information concerning the Marketplace, the User may contact Mission Internationale via the "Contact Us" section on the Marketplace or by sending an email via the contact section of the Marketplace www.mission-internationale.com.

14.2. For any complaint related to the strict use of the Marketplace and the Service, the User may send a written request to the Complaints Department, by mail to the following address: Mission Internationale, 8 esplanade Compans Caffarelli - 31000 Toulouse, France or by email via the contact section of the Marketplace www.mission-internationale.com.

Mission Internationale undertakes to deal with the complaint and to answer it as soon as possible.

ARTICLE 15: INVALIDITY AND MODIFICATION OF THE GENERAL CONDITIONS

If one of the clauses of the General Terms and Conditions is null and void due to a change in legislation, regulations or a court decision, this nullity shall not entail the nullity of the other stipulations which shall remain in force.

Mission Internationale reserves the right to modify all or part of the General Conditions.

ARTICLE 16: APPLICABLE LAW AND COMPETENT COURTS

16.1. The General Conditions and the operations arising from them are governed by French law.

The original text of the General Terms and Conditions is in French. In the event that they are translated into one or more languages, only the French text shall be deemed authentic in the event of a dispute.

16.2. In case of difficulty or dispute regarding the interpretation, execution or termination of the General Terms and Conditions, the parties shall endeavor to resolve it as best they can and agree to seek an amicable solution in the spirit of the General Terms and Conditions.


IN THE ABSENCE OF AN AMICABLE SOLUTION, ANY DISPUTE RELATING TO THE FORMATION, CONCLUSION, INTERPRETATION AND/OR EXECUTION OF THE GENERAL TERMS AND CONDITIONS SHALL FALL UNDER THE EXCLUSIVE JURISDICTION OF THE COURTS WITHIN THE JURISDICTION OF THE COURT OF APPEAL OF TOULOUSE (FRANCE).
